MANAGER'S TRANSACTIONS

Persons discharging managerial responsibilities at an issuer, (e.g. members of the Supervisory Board or of the Board of Directors), as well as persons (natural and legal entities) closely associated with them, shall notify pursuant to Article 19 paragraph 1 MAR („Directors‘ Dealings“), the Austrian Financial Market Authority (FMA) and the issuer about proprietary trade involving shares or debt instruments or associated derivatives or other financial instruments.


The person subject to the reporting obligation must submit the report on proprietary transactions carried out to the FMA and the issuer without undue delay and no later than three business days after the date of the transaction.

Since 1 January 2025, it has been mandatory to use the FMA's web form when submitting the report. The person subject to the reporting obligation accesses the web form via the following link: https://webhost.fma.gv.at/DirectorsDealings/

Once submitted, the person subject to the reporting obligation will receive a confirmation email from the FMA with the Directors' Dealings report submitted. The message can also be downloaded after sending. The person subject to the reporting obligation must then email the report to the issuer immediately. The issuer shall then publish the announcement without undue delay within the prescribed period.
